Die Gesch\u00e4ftsbedingungen sind vereinbart, wenn der Auftraggeber ihnen nicht unverz\u00fcglich nach dem Zugang widerspricht.
1. Urheberrecht und Nutzungsrechte
1.1. Die Entw\u00fcrfe und Reinzeichnungen d\u00fcrfen ohne ausdr\u00fcckliche Einwilligung des Designers weder im Original noch bei der Reproduktion ver\u00e4ndert werden. Jede vollst\u00e4ndige oder teilweise Nachahmung ist unzul\u00e4ssig.
1.2. Bei Versto\u00df gegen Punkt 1.1. hat der Auftraggeber dem Designer eine Vertragsstrafe in H\u00f6he von 200 % der vereinbarten Verg\u00fctung zu zahlen.
1.3. Der Designer \u00fcbertr\u00e4gt dem Auftraggeber die f\u00fcr den jeweiligen Verwendungszweck erforderlichen Nutzungsrechte. Soweit nichts anderes vereinbart ist, wird nur das einfache Nutzungsrecht \u00fcbertragen. Der Designer bleibt in jedem Fall, auch wenn er das ausschlie\u00dfliche Nutzungsrecht einger\u00e4umt hat, berechtigt, seine Entw\u00fcrfe und Vervielf\u00e4ltigungen davon im Rahmen der Eigenwerbung zu verwenden.
1.4. Eine Weitergabe der Nutzungsrechte an Dritte bedarf der schriftlichen Vereinbarung zwischen Designer und Auftraggeber. Die Nutzungsrechte gehen auf den Auftraggeber erst nach vollst\u00e4ndiger Bezahlung der Verg\u00fctung \u00fcber.
1.5. Der Designer hat das Recht, auf den Vervielf\u00e4ltigungsst\u00fccken (Hard- und Softcopies) als Urheber genannt zu werden. Verletzt der Auftraggeber das Recht auf Namensnennung, ist er verpflichtet, dem Designer eine Vertragsstrafe in H\u00f6he von 100 % der vereinbarten Verg\u00fctung zu zahlen. Davon unber\u00fchrt bleibt das Recht des Designers, bei konkreter Schadensberechnung einen h\u00f6heren Schaden geltend zu machen.
2. Verg\u00fctung
2.1. Die Verg\u00fctungen sind Nettobetr\u00e4ge, zahlbar zuz\u00fcglich der gesetzlichen Mehrwertsteuer und ohne Abzug.
2.2. Die Verg\u00fctungen sind bei Lieferung der Entw\u00fcrfe f\u00e4llig. Werden die Entw\u00fcrfe in Teilen abgenommen, so ist bei Abnahme der ersten Teillieferung eine Teilverg\u00fctung zu zahlen, die wenigstens die H\u00e4lfte der Gesamtverg\u00fctung betr\u00e4gt.
2.3. Werden die Entw\u00fcrfe erneut oder in gr\u00f6\u00dferem Umfang als urspr\u00fcnglich vorgesehen genutzt, so ist der Auftraggeber verpflichtet, eine Verg\u00fctung f\u00fcr die zus\u00e4tzliche Nutzung zu zahlen.
2.4. Ausfallhonorar: Wenn eine Buchung kurzfristig abgesagt wird, ist ein Ausfallhonorar zu zahlen (50% bei einer Absage bis zu einer Woche vor Buchungsbeginn, 75% bei einer Absage unter einer Woche vor Buchungsbeginn).
3. Fremdleistungen
3.1. Der Designer ist berechtigt, die zur Auftragserf\u00fcllung notwendigen Fremdleistungen im Namen und f\u00fcr Rechnung des Auftraggebers zu bestellen. Der Auftraggeber ist verpflichtet, dem Designer hierzu schriftliche Vollmacht zu erteilen.
3.2. Soweit im Einzelfall Vertr\u00e4ge \u00fcber Fremdleistungen im Namen und f\u00fcr Rechnung des Designers abgeschlossen werden, ist der Auftraggeber verpflichtet, den Designer im Innenverh\u00e4ltnis von s\u00e4mtlichen Verbindlichkeiten freizustellen, die sich aus dem Vertragsabschluss ergeben, insbesondere von der Verpflichtung zur Zahlung des Preises f\u00fcr die Fremdleistung.
4. Eigentum , R\u00fcckgabepflicht
4.1. An Entw\u00fcrfen und Reinzeichnungen werden nur Nutzungsrechte einger\u00e4umt, nicht jedoch Eigentumsrechte \u00fcbertragen. Die Originale sind dem Designer sp\u00e4testens drei Monate nach Lieferung unbesch\u00e4digt zur\u00fcckzugeben, falls nicht etwas anderes schriftlich vereinbart wurde.
4.2. Bei Besch\u00e4digung oder Verlust der Entw\u00fcrfe oder Reinzeichnungen hat der Auftraggeber die Kosten zu ersetzen, die zur Wiederherstellung notwendig sind. Die Geltendmachung eines weitergehenden Schadens bleibt unber\u00fchrt.
5. Herausgabe von Daten
5.1. Der Designer ist nicht verpflichtet, Datentr\u00e4ger, Dateien und Daten herauszugeben. W\u00fcnscht der Auftraggeber, dass der Designer ihm Datentr\u00e4ger, Dateien und Daten zur Verf\u00fcgung stellt, ist dies schriftlich zu vereinbaren und gesondert zu verg\u00fcten.
5.2. Hat der Designer dem Auftraggeber Datentr\u00e4ger, Dateien und Daten zur Verf\u00fcgung gestellt, d\u00fcrfen diese nur mit Einwilligung des Designers ver\u00e4ndert werden.
5.3. Gefahr und Kosten des Transports von Datentr\u00e4gern, Dateien und Daten online und offline tr\u00e4gt der Auftraggeber.
5.4. Der Designer haftet au\u00dfer bei Vorsatz und grober Fahrl\u00e4ssigkeit nicht f\u00fcr M\u00e4ngel an Datentr\u00e4gern, Dateien und Daten. Die Haftung des Designers ist ausgeschlossen bei Fehlern an Datentr\u00e4gern, Dateien und Daten, die beim Datenimport auf das System des Auftraggebers entstehen.
6. Korrektur, Produktions\u00fcberwachung und Belegmuster
6.1. Der Auftraggeber legt dem Designer vor Ausf\u00fchrung der Vervielf\u00e4ltigung Korrekturmuster vor.
6.2. Soll der Designer die Produktions\u00fcberwachung durchf\u00fchren, schlie\u00dfen er und der Auftraggeber dar\u00fcber eine schriftliche Vereinbarung ab. F\u00fchrt der Designer die Produktions\u00fcberwachung durch, entscheidet er nach eigenem Ermessen und gibt entsprechende Anweisungen.
6.3. Von allen vervielf\u00e4ltigten Arbeiten \u00fcberl\u00e4\u00dft der Auftraggeber dem Designer zehn einwandfreie Muster unentgeltlich.
7. Haftung
7.1. Der Designer haftet nur f\u00fcr Sch\u00e4den, die er selbst oder seine Erf\u00fcllungsgehilfen vors\u00e4tzlich oder grob fahrl\u00e4ssig herbeif\u00fchren. Das gilt auch f\u00fcr Sch\u00e4den, die aus einer positiven Vertragsverletzung oder einer unerlaubten Handlung resultieren.
7.2. Die Zusendung und R\u00fccksendung von Arbeiten und Vorlagen erfolgt auf Gefahr und f\u00fcr Rechnung des Auftraggebers.
7.3. Mit der Abnahme des Werkes \u00fcbernimmt der Auftraggeber die Verantwortung f\u00fcr die Richtigkeit von Text und Bild.
7.4. Der Designer haftet nicht f\u00fcr die wettbewerbs- und markenrechtliche Zul\u00e4ssigkeit und Eintragungsf\u00e4higkeit seiner Entw\u00fcrfe und sonstigen Designarbeiten.
7.5. R\u00fcgen und Beanstandungen gleich welcher Art sind innerhalb von zwei Wochen nach Lieferung schriftlich beim Designer geltend zu machen. Danach gilt das Werk als vertragsgem\u00e4\u00df und m\u00e4ngelfrei abgenommen.
8. Gestaltungsfreiheit und Vorlagen
8.1. Im Rahmen des Auftrags besteht f\u00fcr den Designer Gestaltungsfreiheit. W\u00fcnscht der Auftraggeber w\u00e4hrend oder nach der Produktion \u00c4nderungen, so hat er die Mehrkosten zu tragen.
8.2. Verz\u00f6gert sich die Durchf\u00fchrung des Auftrags aus Gr\u00fcnden, die der Auftraggeber zu vertreten hat, so kann der Designer eine angemessene Erh\u00f6hung der Verg\u00fctung verlangen. Bei Vorsatz oder grober Fahrl\u00e4ssigkeit kann er auch Schadenersatzanspr\u00fcche geltend machen.
8.3. Der Auftraggeber versichert, dass er zur Verwendung aller dem Designer \u00fcbergebenen Vorlagen berechtigt ist und dass diese Vorlagen von Rechten Dritter frei sind. Sollte er entgegen dieser Versicherung nicht zur Verwendung berechtigt oder sollten die Vorlagen nicht frei von Rechten Dritter sein, stellt der Auftraggeber den Designer im Innenverh\u00e4ltnis von allen Ersatzanspr\u00fcchen Dritter frei.
9. Schlussbestimmungen
9.1. F\u00fcr den Fall, dass der Auftraggeber keinen allgemeinen Gerichtsstand in der Bundesrepublik Deutschland hat oder seinen Sitz oder gew\u00f6hnlichen Aufenthalt nach Vertragsabschluss ins Ausland verlegt, wird der Sitz des Designers als Gerichtsstand vereinbart.
